In the last few days, we have witnessed an enormous pressure over Graña y Montero, which has resulted in the approval of a Bill which is openly unconstitutional and clearly confiscatory, where our company has been treated like a confessed company and sentenced for corruption, without having been through due process.
In order to justify this type of regulations, it is still claimed that our Company is led by the former Chairman, Mr José Graña Miró Quesada, who would also be in charge of the editorial contents of all the media belonging to the El Comercio Group, which is why an arbitrary association between the Company and such editorial group has been made.
In order to clarify the truth, the Chairman of the Company would like to publicly reassert as follows: IT IS FALSE THAT MR JOSÉ GRAÑA MIRÓ QUESADA, HERNANDO GRAÑA ACUÑA AND MARIO ALVARADO PFLUCKER ARE TAKING ANY PART IN THE DECISIONS OF THE COMPANY.
Since March 2017, when the current independent Board was appointed, and the new General Manager was designed, the Company HAS NOT been led, managed, nor influenced by the aforementioned persons, who are only shareholders of the Company.
The aforementioned former executives are just three out of the over one thousand local and international shareholders the Company has. Altogether, they represent less than 24% of the shareholding of the Company. They are different institutional, local and international investors, as well as natural persons who control over 76% of the shareholding of the Company. To illustrate, the Peruvian Pension Funds represent over 30% of the shareholding. Graña y Montero is a Peruvian company having a wide and diversified shareholding.
In this context, the Board of the Company reaffirms as follows:
- Our total collaboration with all the procedures that the judicial authorities are carrying out in order to clarify the truth about the corrupt acts of Odebrecht.
- Bribing officials or any other illegal activity do NOT constitute part of the entrepreneurial policies and practices of the Company.
- The Company does not protect and will not protect any individual who may have been involved in corruption acts.
- The Board of this Company is prepared to take the corresponding legal actions against any individual, official or former official, who has damaged the company as a result of their irregular acts.
We are a Peruvian Company firmly rooted in the country and we want to continue this way. The Government must be sure that we will comply with our obligations, including the payment of any civil responsibility that may be determined through the corresponding legal procedures.
Finally, we reassert our firm commitment to collaborate with the Judicial Power and the Public Ministry in order to clarify the truth, as we are aware that transparency and integrity are the best assets in a company.
